CANONSBURG, PA, DECEMBER 12, 2004 – UBICS, Inc., www.UBICS.com (UBIX.PK) announced today that its Annual Meeting of Stockholders will be held on January 12, 2005 at 11:00 AM, Eastern time, at the Hilton Garden Inn, 100 Corporate Drive, Canonsburg, PA 15317, for the purpose of considering and acting upon the following matters:

The election of two Class 1 directors to serve for a term of three years expiring on the third Annual Meeting of the Stockholders following their election.

The two nominees for election as Class 1 directors are:

      TV Lakshmi Kanthan
      Kent D. Price

The Board of Directors has fixed the close of business on December 1, 2004, as the record date (the “Record Date”) for the determination of stockholders entitled to notice of and to vote at the Annual Meeting. Only stockholders of record at the close of business on the Record Date are entitled to notice of, and to vote at, the Annual Meeting. The holders of UBICS Common Stock are entitled to one vote for each share owned on the Record Date.
